Sainsbury’s Electronic Data Interchange Acceptable Usage Policy

 

The  Sainsbury’s Electronic Data Interchange (hereafter “EDI”) web based application (hereafter “Application”) is owned and operated by Wesupply on behalf of Sainsbury’s Supermarkets Ltd  a company, registered in England and Wales, Company Number 03261722, whose registered office is at 33 Holborn, London EC1N 2HT (hereafter “Sainsbury’s”).

 

1.         Acceptance of Terms.

 

Please read this agreement carefully before using the Services.  The Application is subject to the following Acceptable Usage Policy.  You are permitted to use this Application solely on the basis of the Acceptable Usage Policy and using this Application indicates that you have accepted the Acceptable Usage Policy.  Sainsbury’s reserves the right to update the Acceptable Usage Policy at any time without notice to you. The most current version of the Acceptable Usage Policy can be reviewed by clicking on the “Acceptable Usage policy” link located underneath the login boxes on the web pages.       

 

2.         Services.

 

Sainsbury’s provides you with access to a variety of resources through the Application, including application services, reporting, technical information, contact information and information for the purpose of Business planning (collectively "Services"). The Services, including any updates, enhancements, new features, and/or the addition of any new web pages, are subject to the Acceptable Usage Policy.

 

You may not modify, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, content or services obtained from the Services.

The suppliers will need to display and may well want to distribute or copy some of the KPI details they see on the site

 

3.         Privacy and Protection of Personal Information

4.         Content

 

Sainsbury’s does not make any representations about the suitability of the information contained in the documents, content and related graphics published as part of the Services for any purpose. All such content is provided for information purposes only and without warranty of any kind whether express or implied including but not limited to the implied warranties of satisfactory quality, fitness of purpose, non-infringement, compatibility, security and accuracy.

 

Sainsbury’s makes no warranty that the information on the Application will be uninterrupted or error free.

 

To the extent permitted by law, Sainsbury’s shall not be liable for any indirect or consequential loss or damage whatsoever (including without limitation, loss of business, opportunity, data or profits) arising out of or in connection with the use of the Application whether in an action of contract, negligence or other tortious action. Nothing in these terms and conditions shall be construed so as to exclude or limit the liability of Sainsbury’s for death or personal injury as a result of the negligence of Sainsbury’s or that of its employers or agents.

 

5.         User Account, Password, and Security

 

A user account will be provided to you for access to the ‘Application’. You will also be provided with a password, which you be prompted to change subsequent to your initial logon to the Application and at regular intervals thereafter

 

User accounts with incorrect passwords will have a forgotten password option and any supplier administration users will have access to maintain user accounts within their own company.

 

You are entirely responsible for any and all activities that occur under your account. You agree to notify Sainsbury’s immediately of any unauthorised use of your account or any other breach of security. Sainsbury’s will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Sainsbury’s or another party due to someone else using your account or password. You may not use anyone else's account at any time.

 

Sainsbury’s have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in Sainsbury’s opinion you have failed to comply with any of the provisions of these Acceptable Usage Policy.

 

The Application must only be accessed by authorised personnel. It is the Suppliers’ responsibility to inform Sainsbury’s 3 days prior of changes in authorised users. Sainsbury’s will not be liable for any loss that you may incur as a result of not informing Sainsbury’s when user account access changes, however, you could be held liable for losses incurred by Sainsbury’s or another party.

 

6.         No Unlawful or Prohibited Use

 

As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any Sainsbury’s server, or the network(s) connected to any Sainsbury’s server, or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorised access to any Services, other accounts, computer systems or networks connected to any Sainsbury’s server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the services.

 

7.         Use of Services.

 

The Services are an Electronic Data Interchange (hereafter, “EDI”) system run by Wesupply on behalf of Sainsbury’s for Sainsbury’s suppliers to view their supply chain and finance information which are purchase orders, advanced shipment notices, invoices and cost files, and any ancillary messages associated with them. You agree to use the Services only for the use that is intended. By way of an example, and not as a limitation, you agree that when using the Services, you will not:

 

* Use the Services in connection with surveys, contests, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise).

* Defame abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

* Publish post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information.

* Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same.

* Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.

* Upload files that contain viruses, Trojan horses, worms, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another.

* Download any file posted by another user of a Service that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner.

* Falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.

* Restrict or inhibit any other user from using and enjoying the  Services.

* Violate any code of conduct or other guidelines which may be applicable for any particular Service.

* Harvest or otherwise collect information about others, including email addresses.

* Violate any applicable laws or regulations.

* Create a false identity for the purpose of misleading others.

* Use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any directory of users of the Services or other user or usage information or any portion thereof.

 

Sainsbury’s has no obligation to monitor the Services. However, Sainsbury’s reserves the right to review materials posted to the Services and to remove any materials in its sole discretion. Sainsbury’s reserves the right to terminate your access to any or all of the services at any time, without notice, for any reason whatsoever.

 

Sainsbury’s reserves the right at all times to disclose any information as Sainsbury’s deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Sainsbury’s sole discretion.

 

Sainsbury’s strongly advise that you always use caution when giving out any personally identifiable information about yourself in any  Services. Sainsbury’s does not control or endorse the content, messages or information found in any  Services and, therefore, Sainsbury’s specifically disclaims any liability with regard to the  Services and any actions resulting from your participation in any  Services.

 

Materials uploaded to the Services may be subject to posted limitations on usage, reproduction and/or dissemination; you are responsible for adhering to such limitations if you download the materials.

 

You shall be responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access or otherwise use the Services, including without limitation modems, hardware, software and long distance telephone service.  You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms, and that they comply with them.

 

8.         Uploading material to the Application

 

We have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

 

We will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of the Application.

 

 

9.         Links to Third Party Sites

 

Third party linked sites are not under the control of Sainsbury’s and Sainsbury’s is not responsible for the contents of any linked site or any link contained in a linked site, or any changes or updates to such sites. Sainsbury’s is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Sainsbury’s of the site. If you access any such sites you do so at your own risk and Sainsbury’s is not responsible for security or safety of any such sites. Links from any other sites to this Application are prohibited unless subject to the express permission of Sainsbury’s.

 

10.       Advice

 

The contents of the Application do not constitute advice and should not be relied upon in making or refraining from making any decision.

 

 

11.       Indemnity and Termination

 

You agree to indemnify and hold Sainsbury’s harmless from and against all liabilities, legal fees, damages, losses, costs and any other expenses in relation to any claims or actions brought against Sainsbury’s arising out of any breach by you of these Acceptable Usage Policy or from your use of the Application. Sainsbury’s shall have the right to immediately terminate your use of the Application if we determine in our sole discretion that you have breached these Acceptable Usage Policy.

 

12.       Severance

 

If any of this Acceptable Usage Policy should be determined to be invalid, illegal or unenforceable for any reason by any Court of competent jurisdiction then such Acceptable Usage Policy shall be severed and the remaining Acceptable Usage Policy shall survive and remain in full force and effect and continue to be binding and enforceable.

 

13.       Governing Law

 

This Acceptable Usage Policy shall be governed by and construed in accordance with the law of England and Wales and you hereby submit to the exclusive jurisdiction of the English Courts.

 

14.       Copyright Notice

 

All copyright trading marks on all other intellectual property rights in the Application and its content including without limitation the website design graphics and all other software connected with the Application are owned by Sainsbury’s or otherwise used by Sainsbury’s as permitted by law. In accessing the Application you agree that you will access the contents solely for your own personal use.   No licence is granted to you in this Acceptable Usage Policy to use any trade mark of Sainsbury’s or its affiliated companies.

 

You may print off copies, and may download extracts, of any pages from the Application for personal reference and you may draw the attention of others within your organisation to material posted on our site.  You may not otherwise download, copy reproduce, transmit, store, sell or distributed without the prior written consent of Sainsbury’s.

 

PRIVACY STATEMENT

 

The Application is operated by Wesupply on behalf of Sainsbury’s and Sainsbury’s is committed to protecting your privacy.   Accordingly we do not sell, rent or loan any identifiable information regarding our suppliers to any third party. Any information that you give us is held with the utmost care and security. It will not be used in ways to which you have not consented.

 

Collection of Your Personal Information

 

In order to access some Sainsbury’s Services, you will be asked to sign in with a username and password, which we refer to as your credentials

 

We may collect information about your visit, including the pages you view, the links you click and other actions taken in connection with Sainsbury’s sites and services. We also collect certain standard information that your browser sends to every website you visit, such as your IP address, browser type and language, access times and referring Web site addresses.

 

Use of Your Personal Information

 

Sainsbury’s collects and uses limited personal information to operate the Application and deliver the Services. We will not collect any information about individuals, except where it is specifically and knowingly provided by them.

 

Additionally, we will keep details of non personal supplier information; examples of such information are:

 

- Company Name

- Address

- Telephone number

- Email address

 

This information will be used for audit purposes.

 

By accessing the services of Sainsbury’s and voluntarily providing us with the limited personal information we have asked for, you consent to the collection and use of the information in accordance with this privacy statement.

 

 

Sainsbury’s collects and uses your personal information to operate and improve its sites and deliver the Services or carry out the transactions you have requested. These uses may include making the Application as operated by Sainsbury's or it’s Services easier to use by eliminating the need for you to repeatedly enter the same information and displaying content that are customized to your interests and preferences.

The Application uses VeriSign SSL V3 encryption on all its pages and this protects the confidentiality of your data.

 

If a password is used to help protect your accounts and personal information, it is your responsibility to keep your password confidential. Do not share this information with anyone. If you are sharing a computer with anyone you should always choose to log out before leaving a site or service to protect access to your information from subsequent users.
